of the Ordinary General Meeting of Shareholders

Fabryka Farb i Lakierów “ŚNIEŻKA” S.A.

having its registered office in Lubzina

adopted on June 21^st, 2010 on

appointment of a Member of the Management Board of Fabryka Farb i Lakierów ŚNIEŻKA Spółka Akcyjna for the duration of the fifth term of office.

Pursuant to item 9 (j) of the Agenda of the Ordinary General Meeting of Shareholders and pursuant to article 385 para. 1 of the Code of Commercial Companies, the Ordinary General Meeting of Shareholders of Fabryka Farb i Lakierów ŚNIEŻKA Spółka Akcyjna, with its registered office in Lubzina, decides as follows:

§ 1

Appoint Mr/Ms ........................... as a Member of the Supervisory Board. 

§ 2

The resolution becomes effective as of the adopted date.

Annex to and justification of the draft resolution is the motion put forward by the following shareholders: Piotr Mikrut, representing 11.49 % of the total number of votes, and Jerzy Pater from PPHU Elżbieta i Jerzy Pater Sp. z o.o., representing jointly 20.63 % of the total number of votes, who acting as shareholders of FFiL Śnieżka S.A. representing jointly 32.12% of the total number of votes in the Company submitted candidacy of Ms Anna Pater for a Member of the Supervisory Board of FFiL Śnieżka S.A. The justification for this candidacy is intention of the main shareholder of the Issuer, i.e. PPHU Elżbieta i Jerzy Pater Sp. z o.o, to delegate representation of it to Ms Anna Pater; the shareholder wants Ms Anna Pater to be in future its only representative in the Supervisory Board.

Ms Anna Pater has a Master degree in Economics and Management from the Łazarski University of Commerce and Law in Warsaw, Faculty of Foreign Trade (full-time studies).

§         May 2009 to September 2009 - Sales Representative for the south-east region network in Fabryka Farb i Lakierów Śnieżka S.A.

§          August 2005 - Fabryka Farb i Lakierów Śnieżka S.A. in Brzeźnica, trainee

The traineeship programme included the following issues: company’s quality policy, corporate strategy, methods of business management and administration, marketing in the company, market survey, analysis of own and competitive products, implementation of the marketing strategy for new products.

Courses and skills: Course for candidates to Supervisory Boards of State Treasury Companies, organised by the European Advisory Group (completion date: June 2010).

Proficiency in computer skills, including Internet, MS office, other.

Category B driving licence 

Languages: English (fluent speaking, writing and reading), basics of German.
